Important: DISCLOSURE

PoGo! Products, Inc. (OTC BB: NWGD) is a leader in portable digital audio (MP3) technology and the manufacturer of cutting edge personal electronic products for consumers and businesses. Corporate headquarters for PoGo! Products and home base for sales and customer service is located in Brea, California, with all manufacturing of product done in Asia.

Portable MP3 players store digital music in their internal memories, on removable storage media, or a combination of both. You don’t buy pre-recorded discs or tapes, but instead create your own digital files using software often supplied with a player. You can convert music from your favorite audio CDs to digital files on your computer – a process known as ripping – or download music from the Internet. In either case, you can listen to these files on your computer or transfer them to a portable MP3 player so you have music to go.

Mission Statement: The mission of PoGo! Products is to create innovative, industry first, personal technology products, and market to a rapidly growing group of consumers who demand cutting edge technology, high quality construction, and elegant industrial design, all at an excellent price value.

CHARTS & GRAPHS:

Within this section investors will see why PoGo! Products has huge upside potential during the next 6 to 24 months. The charts and graphs will indicate that MP3 is the next “killer application” for late 2003 & 2004. The information is so compelling that investors should easily conclude that PoGo! Products (NWGD-OTC BB) is a great speculation at the price when one considers the talent of management and the cutting-edge design, function, size, usability, expandability and low cost for their current product line-up of mobile and portable music and information players.

From this chart it is easy to conclude that many households have reached saturation with respect to technology ownership. From the above graph it is easy to see that MP3 players have the least penetration and, for that reason, have the greatest upside in market penetrations. When you consider that desktop PC’s are close to being fully saturated within U.S. households and that most MP3 players “feed” off desktops via USB umbilicals – that growth will be easily tapped.

Whether you condone pirated music over the net or are so inclined to pay and play – the dollar value worldwide is staggering. Most either download onto desktop or laptop hard drives and then want mobility for their treasure chest of musical melodies that are close to CD quality. The obvious solution is the light-weight, multi-task and multi-function, low cost and long playing, rechargeable MP3 player!

From this group of graphs, it is easy to conclude that the “new” segment of music purchasing via the internet will grow by some 600% during the next 4-1/2 years – from relatively nothing to $800 million. This # does not include such sites as Kazaa.com, which consists of file sharing or to music industry executives as “music piracy.” Regardless, this bodes well for MP3 player demand.

The majority of people that download music via the net are under 30 in age. This group is, of course, most computer literate and have the greater tendency to be classified as audiophiles. The “pie” charts indicate that music downloads continue to grow rapidly and, on the flip side, that CD sales continue to slide. Again, more music downloads potentially equal more MP3 players being sold.

Internet usage within the U.S. is somewhat saturated, but the worldwide growth potential during the next 3-1/2 years looks extremely favorable. Once connected – music download via the net has joined an almost symbiotic relationship between the end user, the computer and potentially ending with the MP3 mobile player.

The population of the U.S. is roughly 285 million – from this graph it is easy to conclude that home internet access within the U.S. has reached saturation. Most other developed countries do not have comparable penetration, primarily due to the high cost of connection. As charges and tariffs drop internationally, a greater penetration will boost connectivity. Again, as more computers connect to the net, greater access to cheaper music – either via piracy or fee/song – are the end result and MP3 players are just another element of the food chain.

Another reason music download will most likely accelerate during the next few years is related to the speed of downloading files from the internet. It is easy to see that during the next 4-1/2 years satellite access will increase by 500%+, DSL will grow by over 100% and cable will expand by 80%. These three access to the internet technologies are all dramatically faster than fixed connection and offer the ability to download music files in a fraction of the time needed if connected via fixed lines. This factor will dramatically influence music file transfers – and most likely will proportionately increase sales of MP3 players.

As mentioned earlier, the market for speedy broadband internet service is linked closely with the market for online music. Most consumers won’t download music without broadband because dial-up connections are “dinosaurs.”

Faster = more music downloads =
consumers demanding greater storage capacity,
mobile multi-functional, light-weight and rechargeable
electronic products that are low cost =
     MP3 players = “killer application.”

The population that is most likely to download music is a large part of the current U.S. population and will yield a strong revenue stream for products that enhance the life style of that specific group. The portable cassette deck of the 80’s and the CD players of the 90’s are the MP3 players of the 00’s.

ADDITIONAL POINTS:

  1. Only 6% of the total population have MP3 players.
  2. U.S. sales of music distributed online by the end of 2003 will reach $50 million. This figure is expected to reach $800 million by 2007. Bodes well for portable music players – namely MP3.
  3. By 2006 it is anticipated that users worldwide accessing the internet at least monthly may reach 963 billion – a far cry from 2001 year-end of 597 million.
  4. Teenagers and young adults will remain the cornerstone for adopting new entertainment technologies.
  5. Global sales of pirated music CDs rose an estimated 14% last year, exceeding one billion units. About 1 in 3 CDs sold worldwide are pirated. The total value of pirated music for 02 was $4.6 billion. The media is stored on hard disk or burned on CDS and now will find its way onto portable MP3 players.
  6. Worldwide portable digital music player unit shipments will grow from about 7.2 million in 2002 to almost 30 million in 2006. A 300% increase in 3+ years.
  7. The debate over how much MP3 recordings harm the music industry is a lively one. It is enough to say that there’s no shortage of websites that offer pirated MP3 files. In most cases, the sites get shut down fairly quickly, but new ones are constantly appearing to replace them.
  8. MP3 players are just the first stage of a larger trend toward portability of music content.
  9. According to Forrester Research, downloads will generate $2.1 billion in sales for record labels by 2007. Again, pirated or paid music to PC, to MP3 or other portable music device.
  10. According to now defunct Webnoize, pirates downloaded 3.05 billion files a month from the top four sites alone in 2001!
  11. It is estimated that 70 million download music files from file-sharing sites such as Kazaa, Grokester & Morpheus.
  12. Business-to-consumer (B2C) internet spending in the U.S. may exceed $155 billion in 2005, up from $50 billion in 2001. Of course, a portion of the spending comes from paid music downloads and MP3 players that can be purchased online from varied manufacturers.
  13. Digital music is the No. 1 driver of broadband use. It’s the “killer app” for broadband (see Chart 1).

PoGo! revenue plans for 2003 & 2004 are based upon the following assumptions. The company plans on completing an equity financing of $1 million no later than 10/31/03. It is scheduled to fund $500K during Sept. 03 and $500K during Oct. 03. An SB-2 filing during the first Q of 04 will result in an additional $2 million of either debt or equity financing. According to management, these rev estimates are conservative. At present, PoGo! Products currently has 16 million shares outstanding, fully diluted. The NASDAQ cmpy (USEG) owns 20%, the balance is owned by management and insiders, minus the 1 million share float. During Sept. 03 the symbol of PoGo! Products will be changed.
